2. Exclusive conception and control of the entire M&A process as well as internal and external resources - if necessary also selective operational support - to realize the acquisition of company shares or individual assets and debts in accordance with the interests of the buyer


1. Exchange of strategy / definition of acquisition criteria / project setup (team / process / budget)

2. Screening / profiling of possible target companies / assessment fit: strategy / business model / culture / management

3. Establishing contact and coordination of preliminary examination / indicative assessment

4. Support in the preparation of a non-binding and indicative offer / pre-negotiation

5. Management of due diligence with internal and external functional teams of experts

6. Assessment of transaction structure / future business model / business plan / company valuation

7. If necessary Structuring and support in organizing financing

8. Support in the preparation of a binding offer / key points draft sales contract / negotiation

9. Preparation and support for signing / closing / communication

10. If necessary Assistance with the implementation of the integration plan


1. The project setup / M&A process is planned and will be documented regularly

2. The relevant M&A know-how is imparted to the internal and external team members at the start of the project

3. A list of possible target companies and the status of the communication is permanently documented

4. The exchange with the owners of the target companies takes place adequately via defined channels

5. The project teams and committees are informed / steered and given conceptual / content-related advice

6. The strategic and economic opportunities and risks are reported fairly and transparently


Mathias Westerbarkei will work on the project personally up to 50% of his time. Any other team members required are discussed and agreed between the parties.

Time schedule

The total duration of the project is not predictable, but is usually between four and nine months.


1. Monthly fixed fee: from € 10,000, depending on the deal complexity / team members

2. Additional performance fee upon conclusion of the contract
(Purchase of company shares or individual assets and debts) 

a) in the amount of 2% of the transaction volume up to € 30 million and

b) in the amount of 1% of the transaction volume over € 30 million and

c) in the amount of 0.75% of the transaction volume over € 100 million,

d) Success fee at least: € 100,000.

- All fees and charges do not include VAT

- Monthly termination, but exemption from reimbursement claims or damages from service providers who may have been entrusted with confidence in the execution of the project

- The entitlement to a performance fee does not expire if the cooperation is terminated prematurely 

- The services of other consultants or appraisers that may be required in the context of a possible project must be ordered separately from you and are not included in the scope of the services and compensation described here

- Your order is placed subject to the signing of a final mandate agreement between you, the client, and the M&A advisor, Westfälische Corporate Finance GmbH. Westfälische Corporate Finance GmbH reserves the right to refuse electronic orders from you without giving reasons
